ECLIPTICA® End User License Agreement (EULA)

1. License Grant

1.1 R-S-S grants you a limited, non-exclusive, non-transferable, revocable license to install and use ECLIPTICA® on your personal device solely for internal evaluation, development, analytics, and experimentation purposes.
1.2 The license does not transfer ownership of ECLIPTICA® or its underlying intellectual property, which remains with R-S-S or its licensors.

2. Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive source code.
• Copy, modify, distribute, or sublicense ECLIPTICA®.
• Use ECLIPTICA® for clinical, regulatory, legal, financial, or safety decision-making.
• Use ECLIPTICA® in production environments for authoritative reporting.

3. Data Handling and AI Processing

3.1 All data processing occurs locally on your device.
3.2 Uploaded personal or sensitive data remains on your device and is never transmitted to R-S-S unless you explicitly opt to submit diagnostic or feedback data.
3.3 ECLIPTICA® uses AI technology to process data locally and generate synthetic outputs. These outputs are for evaluation and informational purposes only and must not be used as the sole basis for decisions.
3.4 You are responsible for securing your device and data.

4. Intellectual Property

All rights, title, and interest in ECLIPTICA®, including software, AI models, documentation, and underlying technology, remain with R-S-S or its licensors. No rights are granted except as expressly set out in this EULA.

5. Disclaimer and Limitations

5.1 ECLIPTICA® is provided “as is” and “as available”. R-S-S provides no warranties regarding accuracy, performance, fitness for a particular purpose, or uninterrupted operation.
5.2 Use of ECLIPTICA® is at your own risk. R-S-S is not responsible for decisions, actions, or outcomes based on ECLIPTICA® outputs.
5.3 ECLIPTICA® reduces but does not eliminate privacy or governance risk; responsible use remains the User’s responsibility.

6. Liability

To the fullest extent permitted by law, R-S-S is not liable for:

• Direct or indirect losses arising from use of ECLIPTICA®.
• Loss of data, revenue, or business opportunity.
• Any reliance on AI-generated synthetic data outputs.

7. Termination

7.1 This license terminates automatically if you breach this EULA.
7.2 Upon termination, you must uninstall ECLIPTICA® and delete all copies from your device.

8. Governing Law

This EULA is governed by the laws of England and Wales, and you agree to submit to the exclusive jurisdiction of its courts.
