ECLIPTICA® Terms of Use

1. About R-S-S

R-S-S is a contract research organisation providing regulatory and scientific services across the drug development lifecycle. ECLIPTICA® enables the generation of synthetic data and AI-assisted data analysis locally on your device.

2. Licence Grant

2.1 Non-exclusive Licence: R-S-S grants you a limited, non-transferable, revocable licence to install and use ECLIPTICA® on your local device for internal business and commercial purposes, subject to these Terms.
2.2 Permitted Use: You may use ECLIPTICA® for analytics, model training, experimentation, synthetic data generation, and related internal or commercial activities.
2.3 Restricted Use: ECLIPTICA® is not intended for:

• Clinical, safety, or regulatory decision-making
• Legal, financial, or authoritative record-keeping
• Commercial deployment in regulated environments

3. Restrictions

You must not:

• Copy, modify, adapt, translate, or create derivative works of ECLIPTICA®
• Reverse engineer, decompile, disassemble, or extract source code (except as permitted by law)
• Sub-license, resell, distribute, or make ECLIPTICA® available to third parties
• Conduct benchmarking or performance testing without prior written consent
• Introduce viruses, malware, or harmful material
• Use ECLIPTICA® unlawfully or for regulatory reliance

4. No Regulatory or Professional Advice

ECLIPTICA® is provided for data enablement, experimentation, and safe analytics purposes only. It does not constitute regulatory, clinical, legal, or professional advice.
Any reliance on outputs is at your own risk.

5. Data Protection and Privacy

5.1 Local Data Processing: All personal and non-personal data uploaded for processing remains on your local device. ECLIPTICA® does not transmit uploaded personal data to R-S-S or external cloud servers.
5.2 Optional Diagnostic Data: No optional diagnostic data is captured
5.3 Your Responsibilities: You are solely responsible for securing your device, ensuring compliance with data protection laws, and maintaining backups of your data if required.
5.4 Local Data Storage: Data submitted during sessions is processed locally and stored only on your device. No diagnostic logs are transmitted to R-S-S.
5.5 R-S-S processes any submitted optional data in accordance with its Privacy Policy.
5.6 By using ECLIPTICA®, you acknowledge and agree to the processing of optional diagnostic data as described in the Privacy Policy.

6. Availability and No Warranties

6.1 ECLIPTICA® is provided “as is” and is not configured as a validated, production, GxP-compliant, or regulatory-grade system.
6.2 R-S-S does not guarantee uninterrupted, secure, or error-free operation.
6.3 Disclaimer of Warranties: To the fullest extent permitted by law, R-S-S excludes all implied warranties, including those of satisfactory quality, fitness for a particular purpose, and reasonable care.
6.4 R-S-S may modify, suspend, or discontinue ECLIPTICA® at any time without notice.
6.5 Use of ECLIPTICA® is at your own risk. R-S-S is not responsible for decisions or actions based on ECLIPTICA® outputs.
6.6 R-S-S is under no obligation to provide support, maintenance, updates, or assistance unless agreed separately.

7. Intellectual Property

All rights, including but not limited to the software, design, content, methodologies, and technology in ECLIPTICA®, remain the exclusive property of R-S-S or its licensors. No rights are granted except as expressly set out in these Terms.

8. Limitation of Liability

8.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under law.
8.2 Subject to 8.1, R-S-S is not liable for any indirect, incidental, consequential, or special losses, including lost profits, revenue, data, goodwill, or anticipated savings arising from the use of ECLIPTICA® or its outputs.

9. Indemnity

You agree to indemnify and hold R-S-S harmless against any claims, losses, or expenses arising from:

• Breach of these Terms
• Misuse of ECLIPTICA®
• Violation of applicable laws or regulations
• Any reliance on the outputs for regulatory, clinical, or compliance purposes

This indemnity survives termination of these Terms.

10. Termination

10.1 R-S-S may terminate your licence at any time for breach of these Terms.
10.2 Upon termination, you must immediately cease use of ECLIPTICA® and uninstall it from your device.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

12. Entire Agreement

These Terms constitute the entire agreement between the parties relating to ECLIPTICA® and supersede all prior discussions, correspondence, negotiations, arrangements, or understandings.

13. Modifications to the Terms

R-S-S reserves the right to update or modify these Terms at any time. Any changes will be posted in this document with a revised effective date. Continued use of ECLIPTICA® after such changes constitutes acceptance of the modified Terms.
