ECLIPTICA® Demo Terms of Use

1. About R-S-S

R-S-S is a contract research organisation providing regulatory and scientific services across the drug development lifecycle. ECLIPTICA® Demo is provided solely for evaluation and testing purposes.

2. Licence Grant

2.1 R-S-S grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Demo strictly for your internal evaluation purposes.
2.2 The licence is granted for a period of ten (10) days from the date of first registration or access (“Demo Period”).
2.3 You must not use ECLIPTICA® Demo for:

• Commercial deployment
• Regulatory submissions
• Clinical or safety decision-making
• Production environments
• Any live regulatory or compliance activity

3. Restrictions

You must not:

• Copy, modify, adapt, translate, or create derivative works of ECLIPTICA® Demo
• Reverse engineer, decompile, disassemble, or attempt to extract source code, except to the extent permitted by applicable law
• Sub-license, resell, distribute, or make the ECLIPTICA® Demo available to any third party
• Conduct, publish, or disclose benchmarking or performance testing results without prior written consent
• Use ECLIPTICA® Demo for any unlawful purpose
• Use ECLIPTICA® Demo for regulatory reliance or formal decision-making
• Attempt to gain unauthorised access to ECLIPTICA® Demo, its servers, systems, or related networks
• Interfere with, disrupt, or compromise the security, integrity, or performance of the ECLIPTICA® Demo
• Introduce viruses, malware, or other harmful material
• Use automated tools, bots, or scripts to scrape, extract, or overload ECLIPTICA® Demo

4. No Regulatory or Professional Advice

4.1. ECLIPTICA® Demo is provided strictly for evaluation and demonstration purposes.
4.2. It does not constitute regulatory, scientific, legal, medical, or professional advice.
4.3. The Demo must not be relied upon for:

• Regulatory submissions
• Clinical decision-making
• Safety reporting
• Compliance determinations

Any such reliance is entirely at your own risk and requires a separate written agreement with R-S-S.

5. Data Protection and Privacy

5.1. ECLIPTICA® Demo is not intended for the processing of patient-identifiable data.
5.2. You must not upload:

• Personal data relating to identifiable patients
• Special category health data
• Confidential third-party data unless authorised under a separate written agreement

5.3. You are solely responsible for ensuring that no prohibited data is uploaded.
5.4. Data submitted during a session is processed in volatile memory only and is not persistently stored by R-S-S. Such data is automatically deleted upon logout or session expiry.
5.5. R-S-S processes personal data in accordance with its Privacy Policy
5.6. By using ECLIPTICA® Demo, you acknowledge and agree to the processing of personal data as described in the Privacy Policy.

6. Availability and No Warranties

6.1. ECLIPTICA® Demo is provided “as is” and “as available” for demonstration and evaluation purposes only. The Demo is not configured as a validated, production, GxP-compliant, or regulatory-grade system.
6.2. R-S-S does not guarantee uninterrupted, secure, or error-free operation.
6.3. To the fullest extent permitted by law, R-S-S excludes all representations, warranties, conditions, and other terms which might otherwise be implied by statute, common law, or equity, including (without limitation) any implied terms relating to satisfactory quality, fitness for a particular purpose, and reasonable care and skill.
6.4. R-S-S may modify, suspend, or discontinue ECLIPTICA® Demo at any time without notice.
6.5. ECLIPTICA® Demo is not intended for production use or reliance for business, financial, legal, or operational decisions. Use of ECLIPTICA® Demo is at your own risk.
6.6. R-S-S is under no obligation to provide support, maintenance, updates, or assistance in relation to ECLIPTICA® Demo.

7. Intellectual Property

All intellectual property rights in ECLIPTICA® Demo, including its software, design, content, methodologies, documentation, and underlying technology, remain the exclusive property of R-S-S or its licensors. No rights are granted except as expressly set out in these Terms.

8. Limitation of Liability

8.1. Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability which cannot be excluded or limited under applicable law

8.2. Subject to clause 8.1, and to the fullest extent permitted by law, R-S-S shall not be liable for any indirect, consequential, incidental, or special loss, or for any loss of profits, revenue, business, data, goodwill, or anticipated savings arising out of or in connection with your use of ECLIPTICA® Demo. Your use of ECLIPTICA® Demo is entirely at your own risk.

9. Indemnity

9.1. You agree to indemnify and keep indemnified R-S-S, its officers, employees, affiliates, and licensors against any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms 
• Your misuse of ECLIPTICA® Demo
• Your use of ECLIPTICA® Demo in violation of applicable laws or regulations
• Any regulatory, clinical, or compliance reliance placed upon ECLIPTICA® Demo by you or any third party
• 9.2. This indemnity shall survive termination of these Terms.

10. Termination

10.1. The licence automatically terminates at the end of the Demo Period.
10.2. R-S-S may suspend or terminate your access at any time without notice if you breach these Terms.
10.3. Upon termination, you must immediately cease all use of ECLIPTICA® Demo.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. By using ECLIPTICA® Demo, you agree to submit to the exclusive jurisdiction of the courts of England and Wales, regardless of your location.

12. Entire Agreement

These Terms constitute the entire agreement between the parties relating to ECLIPTICA® Demo and supersede all prior discussions, correspondence, negotiations, arrangements, or understandings.
